Terms and Conditions
These terms and conditions ("Terms of Use") shall apply to and regulate the provision of products/ services provided/ made available by S Assets Private Limited (hereinafter referred to as the "SAPL") to You as SAPL service recipient. Any changes to these terms and conditions will be available on https://sassets.in and the same shall be binding on You.
Your acceptance to the Terms of Use of SAPL is generated and preserved as electronic record under the Information Technology Act. 2000, (together with its amendments. and rules made thereunder. and other prevailing law(s)/ regulations as may be applicable at the relevant point of time) and will be binding on you as a licensed user. By downloading. accessing. browsing, completing the sign-up process or registration process for availing the SAPL Services. you have expressly read. understood and accepted the entire Terms of Use while accessing the SAPL Platform. Upon commencement of access/ usage and by submitting your one-time electronic acceptance/ confirmation/ authentication either through registered mobile phone or through any electronic/ web platform and/ or through your email id to SAPL. it is construed as your deemed acceptance. If any of these Terms of Use conflict with any other document/ electronic record in this behalf, the specific terms and conditions shall prevail, until further changes/ modifications are notified.
By completing the sign-up process or registration process for availing the services you hereby agree and acknowledge that (i) you are at least 18 years of age, (ii) you are duly authorised either in your individual capacity or under the capacity of being an authorised Signatory of an entity (iii) you can understand, read and access the world wide web/ internet in English language. (iv) you have read. understood and agree to be bound by these Terms of Use.
In this Terms of Use. the term or word "We", "Us" or "Our" severally refers to the "S Assets Private Limited" and the words "You" or "Your" or "Customer" or "User" refers to the individual and / or the Authorised Signatory of an Entity accessing the Platform.
1. DEFINITIONS
Unless indicated otherwise, the capitalized terms listed below shall have the following meanings:
- (a) "Applicable Law(s)" shall mean all applicable/ prevailing Central, State and Local laws, Statute, Regulations, Orders, Guidelines and/ or Directives as may be amended and in effect or re-enacted from time to time, order or other legislative action of any government authority to the extent having the force of law.
- (b) "S Assets Platform" shall mean and include various mobile-based and web-portal/ website/ applications of SAPL for facilitating S Assets Services to customers.
- (c) "S Assets Products and Services" shall mean the various products and services (including ancillary services) offered by SAPL for purchase of products/ services as may be introduced by SAPL from time to time.
- (d) "Usage Charge(s)" or "Service Charge" shall mean the charges which SAPL may levy upon you in consideration for availing the SAPL Services.
- (e) "Entity" shall mean and include but shall not be limited to any Company duly incorporated under relevant provisions of the Companies Act, 1956/2013, a Partnership Firm, a Limited Liability Partnership, Association of Persons, Body of Individuals, Society registered under Societies Registration Act, 1860 or any other law of any State, Cooperative Society, Hindu Undivided Family.
- (f) "NPCI" shall mean National Payments Corporation of India.
- (g) "OTP" means the one-time password received by you on your registered mobile number for availing SAPL Services.
- (h) "PEP" shall mean Politically Exposed Person as defined by the RBI in Master Direction - Know Your Customer (KYC) Direction, 2016.
- (j) "RBI" shall mean Reserve Bank of India.
2. INTERPRETATION
- (a) All references to singular include plural and vice versa and the word "includes" should be construed as "without limitation".
- (b) Reference to any statute, ordinance or other law includes all regulations and other instruments and all consolidations, amendments, re-enactments or replacements for the time being in force.
- (c) All headings, bold typing and italics (if any) have been inserted for convenience of reference only and do not define, limit or affect the meaning or interpretation of these Terms & Conditions.
3. DOCUMENTATION
(a) The collection, verification, audit and maintenance of correct and updated information is a continuous process and SAPL reserves the right at any time, to take steps necessary to ensure compliance with Applicable Law/ regulation. SAPL reserves the right to discontinue services/ reject applications for availing any/ all Services at any time if there are discrepancies in information and/ or documentation provided by You at the time of registration or otherwise.
4. ELIGIBILITY
(a) You, by accessing/ logging in browsing or otherwise using the SAPL Platform hereby represent and warrant that you:
- are a citizen of India
- completed the age of 18 years and attained the age of majority;
- are duly authorised either in your individual capacity or under the capacity of being an Authorised Signatory of an Entity;
- are capable of entering into a legally binding agreement; and
- are not barred or otherwise legally prohibited from accessing or using the SAPL Platform and/ or from availing SAPL Services.
- you shall be solely responsible for any consequences thereof and for all actions taken in and/ or through SAPL Platform.
(b) In addition to the above-mentioned requirements, you may also have to fulfil additional criteria as may be specified on the SAPL Platform to avail SAPL Services.
5. Acceptance of Terms
You shall abide by the SAPL's Terms and Conditions as set out herein and the changes thereto as communicated through and/ or made available on SAPL Platform from time to time. You agree that availing of SAPL Services is subject to Applicable Law. You hereby agree and understand that SAPL reserves its right to accept or reject your request for availing products/ services on SAPL Platform and SAPL's decision in this regard would be final. Further you agree to execute all necessary documents/ forms and/ or furnish all information and/ or comply with all the requirements so communicated by SAPL from time to time.
6. Use of SAPL Partners
You agree that SAPL may, at its discretion, engage the services of its group company(ies) / subsidiaries / merchant / vendors / service providers / business associates / partners / affiliates / direct sales agent ("DSA"), direct marketing agent ("DMA"), recovery/ collection agents ("RA"), Independent Financial Agents ("IFA") (hereinafter collectively referred to as "SAPL Partners") for providing SAPL services and/ or obtaining or verifying any information in relation to you/ your assets and any necessary or incidental lawful acts/ deeds/ matters and things connected thereto, as SAPL may deem fit.
7. Amendments to Services
You agree that SAPL may at its sole discretion, amend any of the services/ facilities given at any time by giving you notice and/ or provide an option to you to switch to other products/ services/ facilities.
8. Update of Contact Information
Any change of registered address and/ or registered mobile number and/ or email address and/ or the documents including but not limited to the KYC documents submitted by the Customer to SAPL shall be immediately, not later than 30 days from the date of update, informed by the Customer to SAPL and shall duly get the same changed/ updated in the records of SAPL, failing which you shall be responsible for any non-receipt of communication/ deliverables/ transactional messages or the same being delivered at the old address/ mobile number so registered in the records of SAPL. You hereby agree and understand that your access to the electronic transaction services/ mobile application may be restricted in case of invalid mobile number registration.
9. Security Procedures
You hereby agree that SAPL has adopted industry standard security procedures to carry out your verification through one-time electronic acceptance/ confirmation/ authentication either through a registered mobile phone number or through any electronic/ web platform and/ or through your email id, submitted to SAPL, in conjunction with the password for signing into the S Assets Platform and/ or the passcode set by you for undertaking any transactions and/ or any other procedure as informed by SAPL from time to time. You hereby convey your full comprehension of and acceptance to the abovementioned security procedures followed by SAPL and further agree and understand that any unauthorized disclosure, access, breach and/ or use of the same can put the security of your data at risk.
10. Failure to Comply
You hereby understand and agree that failure and/ or delay to furnish details so required by SAPL to comply with its statutory/ regulatory obligations, may result in closure of the SAPL services and/ or placement of restrictions on your usage of the S Assets Platform by SAPL.
11. CONSENT OF CUSTOMER
- (a) Before using/ availing the SAPL Services you must carefully read these Terms of Use and Privacy Terms provided at https://sassets.in. By Accessing, browsing or otherwise using the S Assets Platform and/ or S Assets Services provided by SAPL, you agree and explicitly consent to all the terms and conditions under the Terms of Use and the Privacy Terms, including any modification/ amendments thereof from time to time (collectively "Terms").
- (b) You hereby agree, consent and expressly authorise SAPL/ its representatives/ agents/ its group companies/ Affiliates to send communications, notices regarding completion of on-boarding process, and other products from SAPL, its group companies and/ or third parties that have partnered with SAPL through telephone calls/ SMSes/ emails/ notifications/ post/ WhatsApp/ bots/ in person communication etc. including but not limited to any promotional communications/ messages. Any communications sent by SAPL through aforesaid modes shall be binding on you.
12. WITHDRAWAL OF CONSENT
You shall have the option to withdraw your consent after fulfilling the pending contractual obligations, if any, to SAPL and in accordance with prevailing law/ regulation applicable for such withdrawal. After fulfilling the contractual obligations.
13. YOUR OBLIGATIONS WHEN USING S ASSETS PLATFORM

(a) You agree NOT to use S Assets Platform:
- for making any fraudulent transactions.
- for purposes that are unlawful, illegal or forbidden by these Terms of Use or under any Applicable Laws.
SAPL may, at its sole discretion, at any time and without prior notice or liability, impose additional requirements and restrictions or suspend, terminate or restrict your access to SAPL Platform.

(b) You shall be solely responsible for maintaining the confidentiality and security of your login id, password, PIN, OTP, login details etc ("Credentials") and activities that occur in or through your account. SAPL shall not be liable for any loss/ damage caused due to misuse of your Credentials, with or without your knowledge.

(c) You further agree NOT to:
- i. Upload or share material that is harmful, offensive, unlawful or infringes any third-party rights.
- ii. Falsify or delete author attributions or proprietary labels.
- iii. Violate any code of conduct or guidelines applicable to SAPL Platform or Services.
- iv. Violate any Applicable Laws.
- v. Attempt to gain unauthorized access to any SAPL Platform features or network.
- vi. Reproduce or exploit any part of SAPL Platform for commercial purposes.
- vii. Probe or test vulnerabilities of SAPL Platform or bypass security features.
- viii. Reverse-engineer or trace source code or exploit services offered.
14. FEES OR CHARGES
You shall be responsible to pay fees/ charges, that are applicable to services, as specified in the agreement executed with SAPL.
15. PRIVACY TERMS
You hereby acknowledge and agree that SAPL can collect, hold, use and transfer your personal data in accordance with the Privacy Terms available on this website. The manner of collection, usage, processing, and storage of your personal data will be as under:
15.1 Type of Information Collected
(a) Information provided by You:
- When you commence using the SAPL Platform/ SAPL Services, SAPL may ask you to provide certain information as part of the registration/ login/ sign-up process, or while interacting with SAPL via forms or customer support.
- At registration or login to the S Assets Platform and/or during SAPL Service usage, SAPL may request:
- Name (First, Middle, Last)
- Mobile Number
- Email ID
- Date of Birth
- PAN
- KYC documents as required by law
- Any other necessary details or documents deemed required by SAPL
- Depending on the services/features you use, SAPL may also request:
- Residential address
- Payment/banking info (credit/debit card, account numbers)
- Govt. ID numbers (as applicable under law)
(b) Information captured while using/ browsing S Assets Platform:
- You agree that all information collected is on an "as-is" basis and SAPL is not responsible for its authenticity.
- Data may include transaction details, services used, payment methods, delivery data, and rewards/offer claims.
- Upon explicit consent, SAPL may access:
- Your location (IP, GPS coordinates)
- Device identifiers (IMEI, SIM info)
- Email metadata (for verification of identity/ activity)
(c) Information Collected from Third Parties:
- With your consent, SAPL may obtain your information from third parties to personalize your experience and offer specific services.
- Credit-related data (e.g., credit scores) may be sourced from Credit Information Companies/Account Aggregators.
- SAPL may collect your data from partners to:
- Conduct due diligence
- Detect fraud/ ensure safety
- Understand interactions from SAPL partner networks
15.2 How the Collected Information is Used
- Your data is collected to provide S Assets Services and meet legal requirements. SAPL may share this data with its group companies, affiliates, service providers, or third parties (where permitted by law) to process transactions or offer services.
- SAPL may utilize your data to:
- Curate personalized loan or financial product options
- Improve S Assets Services with anonymized data analysis
- Enhance Platform usability and functionality
- Retain data to meet legal compliance obligations
- SAPL may also use your data for:
- Account setup and management
- Device identification
- Identity verification
- Risk management and anti-fraud operations
- Diagnosing service errors or outages
- Analytical/statistical insights to improve services
- Sending updates and legal notices
- SAPL may use identifiers (e.g. mobile number, subscription ID, account ID) to retrieve outstanding bills, subscription details, payment due dates, and facilitate bill payments.
- As part of the payment services, SAPL may also use your data to enable and authorize transactions initiated by you.
16. COOKIES
SAPL uses data collection devices such as "cookies", etc. on certain parts of the S Assets Platform to help analyze the S Assets Services. The S Assets Services may be offered to you based on your access or interaction with the S Assets Platform. For the sake of clarity, "cookies" are small files which are accessed either on the web/mobile platform and/or placed on your device hard-drive/storage that assist in providing the services.
17. TERMINATION / SUSPENSION OF S ASSETS ACCOUNT
- If you violate any of these covenants herein, SAPL reserves the right to terminate your access or delete your account on the S Assets Platform and/or prohibit your access to the services. SAPL may suspend or block access to your account/services if suspicious or malicious activity is detected, until clarification is provided. You must furnish the necessary information upon request. You may contact the grievance redressal team for assistance.
- SAPL may terminate your account without assigning a reason by providing notice as per the agreement. However, in case of a breach of these Terms of Use, no prior notice is required.
18. DISCLAIMER
- SAPL Services, including all content, software, and material made available via the S Assets Platform, are provided on an "as is" basis. SAPL disclaims any warranty of any kind.
- SAPL does not guarantee uninterrupted or error-free services or that the platform is virus-free.
19. INDEMNITY
You agree to indemnify and hold harmless SAPL and its representatives from all liabilities, damages, losses, or expenses (including legal fees) arising out of:
- Your use of S Assets Platform/Services
- Your violation of these Terms or Privacy Terms
- Violation of third-party rights
- Non-compliance with applicable law
- Claims by third parties due to your misuse of the platform
20. DAMAGES AND LIMITATION OF LIABILITY
- SAPL shall not be liable for indirect, incidental, or consequential damages arising from use or inability to use the S Assets Platform.
- SAPL is not responsible for losses due to third-party services, unauthorized access, device theft, or regulatory restrictions.
- SAPL’s total liability shall not exceed ₹1,000, unless required otherwise by applicable law.
- This clause survives the termination of your S Assets Account/Services.
21. RECORDS OF TRANSACTIONS
The records of your transactions on the S Assets Platform shall be conclusive evidence and binding, unless there is a computation or manifest error.
22. RIGHT TO LIEN / SET-OFF
- You confirm SAPL’s right to lien and set-off any amount payable by you against any funds lying with SAPL.
- This right extends to recovering erroneous or excess credits.
- SAPL may act upon directions from regulatory authorities without prior notice.
23. USE AND PROTECTION OF INTELLECTUAL PROPERTY RIGHTS
- The S Assets Platform is protected by intellectual property laws. You may not copy or distribute its content without permission.
- By uploading content, you grant SAPL rights to use and distribute that content to operate and improve services.
24. LICENSE AND ACCESS
- SAPL is the sole owner of the S Assets Platform and its IP.
- You are granted limited access; reverse engineering or copying source code is prohibited.
- Use of SAPL’s trademarks or brand elements is not permitted without authorization.
- Unauthorized use may lead to legal consequences.
25. FORCE MAJEURE
SAPL is not liable for failure or deficiency in services due to events beyond its control, such as:
- Natural disasters
- Strikes or civil unrest
- Regulatory actions
- Network/server failures or hacking
- Your conduct (e.g., use of untrusted third-party tools, suspicious links, or unauthorized websites)
26. GENERAL
- No partnership or employment relationship is created by these Terms.
- If any provision is held invalid, others remain in force.
- These Terms, along with your agreement, constitute the full agreement.
- SAPL may assign rights and obligations without notice.
- FAQs are provided for convenience, but specific terms prevail in case of conflict.
27. MODIFICATIONS AND UPDATES TO S ASSETS PLATFORM
- SAPL may update the platform or its features and is not obligated to ensure backward compatibility or continuous availability.
- SAPL may update the Terms at any time by posting the new version on the platform. Such updates are binding on you immediately upon posting.

29. GOVERNING LAW AND JURISDICTION
These Terms are governed by Indian law. Any disputes shall be subject to the exclusive jurisdiction of courts located in Chennai, Tamil Nadu.
